Terms of Service

Welcome to AnyPartners (“we,” “our,” “us,” or the “Platform”). By accessing or using our website and services, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use our Service.

Note: AnyPartners is currently operating as a pre-incorporation project. These Terms constitute a binding agreement between you and the operator of the AnyPartners platform.

AnyPartners is a B2B SaaS marketplace and escrow platform designed to connect Web3 project founders (“Founders”) with cryptocurrency exchanges, market makers, and other service providers (“Partners”). We provide the software infrastructure to facilitate matching, communication, electronic signing of agreements, and secure escrow payments.

AnyPartners is not a financial institution, investment advisor, broker-dealer, or a party to the actual integration agreements between Founders and Merchants. We simply provide the platform and act as an independent escrow agent.

To use the Platform, you must register for an account. You agree to:

• Provide accurate, current, and complete information.
• Maintain the security of your account credentials.
• Undergo identity and business verification (KYC/KYB) processed by our third-party provider, Sumsub, if required for your account type or transaction volume.

Failure to pass verification may result in account suspension or termination.

Our core feature is the Escrow Service, which protects both parties during a transaction:

• Deposits: When a Founder accepts a Merchant's terms, the required funds (e.g., USDT/USDC) are deposited into the AnyPartners escrow system, powered by BVNK.
• Release of Funds: Funds are locked and will strictly be released to the Merchant only when the Founder explicitly clicks the “Mark as Completed” button on the Platform, or if the auto-release timer (e.g., 24 hours after Merchant submits completion) expires without a dispute.
• Disputes: If a Founder clicks “Mark as Incomplete,” the funds remain locked, and AnyPartners will initiate a dispute resolution process. Both parties agree to cooperate and provide necessary evidence (e.g., Telegram chat logs, DocuSign agreements). AnyPartners reserves the final right to determine the distribution of funds in a dispute based on the provided evidence.

AnyPartners utilizes third-party providers to enhance the Service:

• DocuSign: For the execution of binding B2B service agreements.
• BVNK: For processing cryptocurrency transactions and escrow holding.
• Sumsub: For identity verification.
• Telegram: For operational communication between Founders and Merchants.

By using AnyPartners, you also agree to be bound by the respective terms of service of these third-party providers. We are not responsible for any downtime, errors, or losses caused exclusively by third-party services.

Users agree not to bypass the AnyPartners platform to complete transactions that originated from our marketplace. Attempting to execute payments outside of the AnyPartners Escrow for a matched deal violates these Terms and will result in immediate permanent account termination and loss of access to the catalog. All financial approvals must be conducted via the AnyPartners platform.

Cryptocurrency Risks: You acknowledge that cryptocurrency values are highly volatile. AnyPartners is not responsible for any loss of value of the escrowed funds due to market fluctuations. Transactions on blockchain networks are irreversible; please ensure all deposit addresses and network types are correct. We are not liable for funds lost due to user error during deposits.

To the maximum extent permitted by law, AnyPartners and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use the Service.
• Any conduct or content of any third party (including Merchants or Founders) on the Service.
• Any unauthorized access, use, or alteration of your transmissions or content.

In no event shall our aggregate liability for all claims relating to the Service exceed the total platform fees paid by you to AnyPartners in the three (3) months preceding the claim.

We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or platform notification. Continued use of the Service after changes constitutes acceptance of the new Terms.

These Terms shall be governed and construed in accordance with standard international commercial laws, pending the formal incorporation and designated jurisdiction of the AnyPartners legal entity.
